Hong Kong – Baker & McKenzie Advises On RMB210m Bonds Issue by China ITS.

Baker & McKenzie’s securities team recently advised the joint bookrunners and the trustee, on the issuance by China ITS (Holdings) Co., Ltd of RMB210 million 10%
guaranteed bonds due 2015. The bonds are listed on the Hong Kong Stock Exchange.
 
The net proceeds will be used by the company to fund acquisitions of selected targets, to grow its services in overseas markets and for general working capital requirements.
 
The Baker & McKenzie team representing the joint bookrunners was led by Hong Kong-based securities partner Brian Spires and Beijing-based banking and finance partner Simon Leung, and included special counsel Edwin Li and associates Christopher Shen, Isabelle Wu and Lin Zhan. The trustee counsel team was led by Hong Kong-based banking and finance partner Andrew Lockhart.
China ITS, which is listed on the Hong Kong Stock Exchange, is a leading transportation infrastructure technology solutions and services provider in China, with expressway projects in nearly 30 PRC provinces.
 
The joint bookrunners for the bonds issue were Guotai Junan Securities (Hong Kong) Limited, Wing Lung Bank Limited, CCB International Capital Limited, China International Capital Corporation Hong Kong Securities Limited and Haitong International Securities Company Limited. DB Trustees (Hong Kong) Limited
is acting as the trustee.
