Kirkland represented Qihoo 360 Technology Co. Ltd., a US-listed Chinese technology company, in connection with the offering of USD 900m of convertible senior notes. The offering consisted of a private placement of USD 450m principal amount of convertible senior notes due 2020 and USD 450m principal amount of convertible senior notes due 2021, with a 30-day over-allotment option to buy an additional USD 135m of the notes. The notes were offered pursuant to Rule 144A and Regulation S. The deal closed on August 6, 2014.
The Kirkland team was led by partners David Zhang and Benjamin Su.
Credit Suisse and Citi acted as the joint bookrunners and China Renaissance and UBS acted as co-managers.
