SSEK Legal Consultants has advised on all Indonesian aspects of a USD 635m revolving credit facility for Enerflex, a Canada-based supplier of oil and gas products and services.
Partner Ira A. Eddymurthy led the SSEK Team advising on the deal.
Enerflex entered into the amended and restated revolving credit facility with a syndicate of lenders including Toronto-Dominion Bank and Bank of Nova Scotia. SSEK acted as Indonesian counsel to PT Enerflex, Enerflex’s Indonesian entity, in providing the upstream corporate guarantee required by the lenders. SSEK advised on the security documents to ensure their compliance with Indonesian law, negotiated with the lenders’ international counsel, Borden Ladner Gervais, and their Indonesian counsel, Assegaf Hamzah & Partners, on the terms and conditions of the agreement, and prepared the corporate approvals from PT Enerflex required for the transaction. SSEK also issued a legal opinion on the corporate guarantee provided by PT Enerflex.
